This course will examine the federal and state statutes and regulations that govern the offer and sale of securities by corporations and other entities. The course will also cover the reporting, proxy solicitation/ voting and other securities law obligations of companies whose securities are publicly traded, as well as the laws regarding trading in securities, such as insider trading and tender offers. The focus of the course will be how a practical, hands-on, working attorney goes about identifying issues, analyzing alternatives and forming solutions for clients.
