In this seminar, we’ll explore the American corporation, and in particular its many-faceted relationship with the U.S. government. Through statute and regulation, governmental actions variously constrain, channel, and protect corporate activity, as do public pressures, private ordering, and litigation. Prof. Reise, a securities and corporate governance attorney, will lead the class through many ways to look at this relationship, with examples primarily drawn from her areas of practice. For example, we’ll look back at the Enron scandal that led to the Sarbanes-Oxley Act, and consider some hot-button issues including executive compensation.
